Ziggurat Interactive purchases the rights to Bloodrayne, Flip’s Twisted World, and more Majesco IP

Bloodrayne is coming back

Ziggurat Interactive, recently formed publisher of multiplatform retro and modern games, announced today they have purchased the rights to multiple game licenses previously owned by Majesco Entertainment. This includes the fan-favorite BloodRayne franchise as well as Advent Rising, Raze’s Hell, and Flip’s Twisted World, which now join Ziggurat’s catalog of more than 200 IPs.

Ziggurat Interactive is already working with original BloodRayne developer, Terminal Reality, to update the PC versions of the BloodRayne games to improve compatibility and provide various enhancements. Ziggurat is also developing plans to further explore and expand BloodRayne’s already rich universe.

Majesco exits game industry, merges with medical company

SOUTH PLAINFIELD, NJ--(Marketwired - Dec 8, 2016) - Majesco Entertainment, Inc. (NASDAQ: COOL) ("Majesco"), announced today it had signed a definitive merger agreement with PolarityTE, Inc. ("Polarity") www.polarityte.com. Polarity is an entirely new and radically unique regenerative medicine company committed to developing the first forms of functionally-polarized autologous tissues for use in medical procedures requiring reconstructive applications by surgeons and wound care specialists.

Upon the closing of the transactions, Polarity will become a wholly-owned subsidiary of Majesco. Majesco will issue preferred stock in the transaction which, when converted, would represent approximately 50% of the issued and outstanding common stock of Majesco on a fully diluted basis. In connection with the merger agreement, Majesco also entered into stock purchase agreements for the purchase of 750,000 shares of common stock at a purchase price of $3.00 per share to accredited investors for gross proceeds of $2,250,000.

At signing of the merger agreement, Dr. Denver Lough, was named Chief Executive Officer and Chairman of the Board of Majesco (to be renamed PolarityTE, Inc.) and Dr. Edward Swanson was named Chief Operating Officer and Director. Both Dr. Lough and Dr. Swanson had worked as residents in plastic and reconstructive surgery at the esteemed Johns Hopkins University School of Medicine. In leaving Johns Hopkins careers as plastic surgeons, they hope to be able to impact as many patients as possible by developing and translating the technology of PolarityTE into a clinical reality. The company will be headquartered in Salt Lake City, Utah where the Company is establishing its biomedical R&D facilities and tissue manufacturing center.

The merger, which has been approved by the board of directors of both companies, is subject to certain closing conditions, including NASDAQ approval, approval by stockholders of Majesco, minimum cash balance of Majesco at closing, and other customary closing conditions.

Even though last week brought the blizzard of 2016 to much of the east coast, we still managed to get our two regular videos out! The podcast was without a few people, but we got the job done. The Winter weather didn't hit until Friday, so I also had a chance to record the weekly video with my parents! Things worked out quite alight. Let's hope weather doesn't mess with this week's plans!

My Parents Play 'A Boy and His Blob' for National Hug Day!

National Hug Day is all about celebrating the art of the hug. Hug friends, family and even strangers! A Boy and His Blob is all about the love a boy has for a blob, and vice versa. It also came with a dedicated hug button, making it the perfect game for my parents to play yesterday! I'll be damned if the game/national holiday didn't come together into an experience where both my parents did really well!

Did you know that Jan. 21st was National Hug Day? Now that's a holiday I can get behind! Turns out that national holiday tied in perfectly for a game my parents could play! Reader RadicalDefect suggested A Boy and His Blob for my parents to take on, and his pick was spot-on. A Boy and His Blob is the only game I know of with a dedicated hug button! Even better, this game turned out to be just what my parents needed. My Dad ends up putting in what could be his best performance in a game yet!

REPORT - Majesco replaces CEO, slims down to five employees

Ailing publisher Majesco Entertainment has appointed a new CEO, and is shifting away from producing retail games and toward a digital future in an effort to become profitable, the company announced today.

Majesco will now focus exclusively on downloadable and mobile titles, including a game called Glue and a new entry in the A Boy and His Blob series, both of which the company expects to launch within the next two fiscal quarters. (Majesco's fiscal year runs from Nov. 1 to Oct. 31.) Those two games will be released on "all next generation consoles and in some cases, PC," said Sutton.

Majesco gives Q4, full year results, may not pursue future Zumba titles

EDISON, N.J., January 14, 2014 /Marketwire/ -- Majesco Entertainment Company (NASDAQ: COOL), an innovative provider of video games for the mass market, today reported financial results for the fourth quarter and full year of fiscal 2013 ended October 31, 2013.

Fourth Quarter Results
For the fourth quarter ended October 31, 2013, Majesco's net revenues were $10.1 million, down 62 percent versus $26.6 million in the same period a year ago. During the fourth quarter of fiscal 2013, the Company reported an operating loss of $4.5 million, compared to operating loss of $3.0 million in the fourth quarter of fiscal 2012. Net loss for the fourth quarter was $4.6 million compared to net loss of $2.7 million in the fourth quarter of fiscal 2012. The Company's basic and diluted net loss per share for the quarter ended October 31, 2013 was $(0.10), compared to basic and diluted net loss per share of $(0.07) in the same period last year.

On a non-GAAP basis, the net loss for the fourth quarter ended October 31, 2013 was $4.2 million compared to non-GAAP net loss of $2.7 million in the fourth quarter of last year. The non-GAAP diluted net loss per share for the quarter ended October 31, 2013 was $(0.09) compared to diluted net loss per share of $(0.07) in the same period last year.
