To address Deux's question on hostile takeovers and legality, there's no real mechanism to prevent it. Companies that do it tend to want only the IPs and property of the company because they usually result in almost all staff leaving the target. There's a few examples even international - Kraft (USA) buying Cadbury (UK), or InBev (Brazil) buying Anheuser-Busch (USA). The Japanese Government couldn't prevent it because Microsoft could buy out the Tokyo-based 7974.t stock, or the US-based NTDOF F-Class shares of Nintendo and not the NTDOY Y-class which us normal people buy.

Even if it would cost Microsoft some $30 billion to get a 51% stake and it's well within their means (With $150 billion+ in cash even after buying Activision) they'd have to prepare for losing all staff at Nintendo and have only their IPs. It wouldn't be great for either side.
